Tenet Healthcare to Sell Brookwood Baptist Health to Orlando Health

Tenet Healthcare Corporation has decided to sell its 70% majority ownership interest in Brookwood Baptist Health to Orlando Health for a significant sum of approximately $910 million in cash. The net proceeds, post-tax, amount to approximately $790 million, making this transaction a significant milestone in the health care sector.

Implications of the Major Transaction

The massive transaction involves five Birmingham area hospitals that are a part of the Brookwood Baptist Health network. These are the Brookwood Baptist Medical Center, Princeton Baptist Medical Center, Walker Baptist Medical Center, Shelby Baptist Medical Center, and the Citizens Baptist Medical Center. Also included in the sale are affiliated physician practices and related operations.

The transaction is expected to be completed by fall 2024, subject to securing regulatory approvals. Brookwood Baptist Health will be continuing as a joint venture with the Baptist Health System.

This sale marks the second significant hospital transaction to take place this summer in the Birmingham Metro Area, bringing substantial changes to the area’s healthcare services. Earlier in June, the University of Alabama System Board of Trustees had approved an agreement to assume ownership of Ascension St. Vincent’s Health System based out in Central Alabama.

With this major healthcare shift, the residents of the Birmingham area who seek treatment at Brookwood Baptist Health facilities are anticipating how this change will affect their future medical care.
